Terms of Service

Last updated on September 15, 2026

These Terms of Service (these "Terms") apply to the website somi.co and its subdomains, including www.somi.co, login.somi.co, app.somi.co, tenant sites at addresses such as {ulid}.app.somi.co, and custom domains that a tenant points at those hosts (the "Website"), and to the in-browser workspace applications offered on app.somi.co (the "Apps"), operated by Somi AI Inc., doing business as Somi ("Company", "we", "us", "our"), with its principal address at 455 Market St Ste 1940 PMB 428524, San Francisco, CA 94105. Telephone: +1 (628) 218-7818. The Apps are in-browser workspace applications on app.somi.co, which may include Docs, Sheets, Ideas, Code, Drive, Preferences, and other workspace applications we make available. They are not native mobile applications. The Website, together with the content, tools, features, functionality, tenant-hosted sites, and AI agent offered on or through the Website and the Apps, are the "Services".

These Terms control your access to and use of the Services. Read them carefully. They affect your legal rights. Accessing or using the Services means you accept these Terms. If you do not understand or accept them, do not use the Services.

In these Terms, "you" and "your" mean you as a user of the Services. If you use the Services for a company or other organization, "you" includes that organization, and you represent and warrant that (a) you are authorized to bind that organization to these Terms, and (b) you accept these Terms on its behalf.

Arbitration and class action waiver. Section 10 includes an arbitration agreement and a class action waiver. By accepting these Terms, you agree (a) to resolve all disputes relating to the Company's Services and products through binding individual arbitration, with limited exceptions, which means you waive any right to have those disputes decided by a judge or jury, and (b) to waive your right to participate in class actions, class arbitrations, or representative actions, as described below. You may opt out of the arbitration agreement and the class action waiver as described in Section 10.

1. Who may use the Services

You must be at least 14 years old to use the Services. By using the Services, you represent and warrant that you satisfy that requirement. If you use the Services for a company or other organization, you also represent and warrant that you have authority to bind that organization, as stated above.

2. User accounts

Opening and protecting your account

Some parts of the Services require you to create an account by signing in with an email magic link we send you, or with Google sign-in, or both (your "Account"). You agree to give us accurate, complete, and current Account information. You are solely responsible for activity on your Account and for keeping access to your email and any connected Google account confidential and secure. We are not liable for your acts or omissions in connection with your Account. You may not let anyone else use your Account. If you know or have reason to believe that your Account or credentials have been stolen, misappropriated, or otherwise compromised, or that your Account has been used without authorization, you must notify us immediately at support@somi.co. Unless we agree otherwise, you may maintain only one Account at a time. You agree not to create an Account if we have previously removed your Account or banned you from any of the Services, unless we give written consent.

3. Using the Services

Inputs, outputs, and actions

The Services include software powered by artificial intelligence and machine learning technologies ("AI"). In using the Services, you may provide or otherwise make available to us, including by connecting third-party services, whether actively or passively, prompts, text, documents, or other materials and data for processing ("Input"). The Services may use AI tools and functions to produce responses, data, instructions, and other materials based on your Input ("Output"), or to take steps on your behalf ("Actions") based on your Input. Inputs and Outputs together are "Materials".

Input

By submitting or making Input available through the Services, you represent that (i) you have obtained all rights, licenses, consents, permissions, power, and authority needed to submit that Input and to allow us to use it in connection with the Services, (ii) submitting that Input, including to generate Output or take Actions, will not breach or violate any third party's rights, any third party's terms, or applicable law, and (iii) your Input will not include material protected by copyright or other proprietary rights unless you have permission or are otherwise legally entitled to provide it and to allow us to use it as described in these Terms.

Connected services

The Services may interact with systems and services you connect or configure, including your own workspace, a tenant-hosted site, a repository you connect (such as a GitHub or other tenant repository), secrets you store for the Services to use, and tools the agent runs (each, a "Connected Service"). You authorize the Services to access and interact with those Connected Services as you configure them. You also authorize us to access, copy, collect, and use data from those Connected Services as needed to provide the Services, generate Output, or take Actions. Data the Services collect from your Connected Services is your Input. Data the Services generate and send to Connected Services is your Output. You are solely responsible for confirming that the interactions the Services take with a Connected Service for you are allowed under the terms that apply to your use of that Connected Service.

The Services do not log into your personal Gmail, Google Drive, or similar consumer accounts to act as your general inbox or file agent, and they do not buy goods for you from third-party retail stores. If you want us to delete Input data we hold from a Connected Service, contact us at privacy@somi.co or support@somi.co. Disconnecting a Connected Service does not by itself delete data we already hold.

Actions

You authorize the Services to take Actions on your behalf that the Services reasonably treat as responsive to your Input. Actions may include running tools, executing commands in a sandbox, carrying out executor plans, and, if you operate a tenant workspace, helping you operate a hosted site, booking flows, or Stripe Connect onboarding. You remain responsible for those Actions.

You will not use the Services to take high-consequence Actions, or rely on Output for high-consequence decisions, without meaningful human review. High-consequence Actions include those that can create legal, financial, security, or similar harm if they are wrong.

When the Services take an Action on a Connected Service for you, you agree that (i) the Services are facilitating your interaction with that Connected Service, (ii) you authorize the Services to exchange relevant information with that Connected Service as needed to perform the Action, and (iii) you, not us, remain the party responsible for the Action and for any resulting obligation. We do not act as your buyer or shopper for third-party retail purchases, we do not share a payment method of yours with third-party stores in order to buy goods for you, and we do not appoint ourselves as your agent to enter retail purchase contracts on your behalf.

If you are a tenant that uses Stripe Connect to charge your customers, or a customer who pays a tenant through Stripe Connect, those charges are described in Section 4.

Materials

The Company does not claim ownership of your Materials. For clarity, the Company, its affiliates, and their licensors own and will continue to own the Services and the technologies used to generate Outputs or take Actions. Because Outputs are generated using third-party models, the Company does not represent or warrant that copyright or other intellectual property rights will vest in any Output. Other users may create and use their own output that is similar or identical to your Output, including because similar Input was provided, and you agree that those users may use their independently created output for their own purposes.

You agree that we may use Materials to provide, operate, maintain, and support the Services, including to generate Output and to plan and take Actions, and for any purpose described in our Privacy Policy. Somi AI Inc. does not train or fine-tune its own AI models, and we do not use Materials to train or fine-tune Somi models. To generate Output and plan Actions, we send Materials to third-party model providers as needed to provide the Services. Those providers' terms apply to that processing. We do not offer a training opt-out, because we do not train or fine-tune our own models on Materials.

Responsibilities and risks

The Services are not error-free. They may produce Output that is incorrect or incomplete, and they may make mistakes in Actions. Be careful when using the Services to take Actions. Actions may not always be reversible. Confirm the accuracy of any Output and whether it is suitable for your purpose before relying on it. You are responsible for your Inputs, Actions, and use of any Output, including all consequences, whether financial, contractual, legal, reputational, or otherwise, that arise from any Action or from your use of Output. You acknowledge that the accuracy and completeness of an Action depend on the Input you provide. If your Input is inaccurate, incomplete, or otherwise insufficient, the resulting Action may be incorrect, incomplete, or not what you intended. You are responsible for deciding whether the Services are suitable for the Actions you intend. We are not responsible for unintended Actions or for any loss, damage, charge, liability, or other consequence arising from Actions, including interactions with Connected Services on your behalf.

You represent and warrant that you have all rights, licenses, permissions, and authority needed to authorize the Services to take Actions for you, and to use any credential, secret, or other access method you provide or store for the Services, including for Connected Services. You agree that your Actions and your use of Output will not violate these Terms, any third-party terms, any third party's rights, or applicable law.

You will not use the Services to take Actions or rely on Output where doing so without meaningful human review would be unlawful, unsafe, or otherwise inappropriate. We may add safeguards, confirmation steps, or other controls on certain Actions. We do not represent or warrant that those safeguards will prevent unintended or erroneous Actions. You remain responsible for setting any additional safeguards or restrictions on Actions, including security settings, permissions, and sharing settings on each Connected Service. Records of Actions available through the Services may not always be accurate. You are responsible for independently confirming that Actions are accurate and appropriate, and for monitoring Actions on an ongoing basis.

Access to or use of certain features may require fees if and when we offer paid Services.

If you purchase paid Services from Somi AI Inc., you agree to pay the applicable fees and taxes, and you authorize us or our payment processor, Stripe, to charge your payment method for that amount. Prices may be shown in U.S. Dollars or in another currency we specify at checkout. We may calculate taxes based on the billing information you give us at purchase. You acknowledge and agree that all information you provide in connection with a purchase is accurate, current, and complete. You represent and warrant that you have the legal right to use the payment method you provide to us or our payment processor. Paid Services will not be made available until payment is received in full. Any holds placed on your account by a payment processor are your responsibility. The Company may change pricing for the Services, or any portion of them, at any time. You agree that we will not be liable for errors caused by third-party payment processors used to process fees you pay us. Except as required by applicable law, all payments you make to us for paid Services are non-refundable.

Some charges that appear in connection with the Services are not fees paid to Somi AI Inc. If you are a customer of a tenant that uses Stripe Connect, you pay that tenant, not us, for that tenant's goods or services. Somi AI Inc. is the platform and may receive an application fee. We are not the buyer or the seller of those goods or services. Disputes about those charges are between you and the tenant and Stripe, subject to Stripe Connect and the tenant's terms.

If you are a tenant that charges your customers through Stripe Connect, you are responsible for those charges, for your customer relationships, and for complying with Stripe's terms. We are not a party to the underlying sale.

5. Where to find our Privacy Policy and Acceptable Use Policy

Privacy Policy

Our Privacy Policy describes how we handle information you provide when you use the Services. See https://somi.co/privacy.

Acceptable Use Policy

Our Acceptable Use Policy at https://somi.co/acceptable-use-policy describes rules of conduct when you use the Services, including activities and uses that are prohibited or restricted. By accepting these Terms, you agree to follow that policy and not to use the Services in any way it forbids.

6. Rights we grant you

Right to use the Services

We permit you to use the Services for your personal use or for internal business or organizational purposes, if you comply with these Terms and our Acceptable Use Policy. If we make software, content, or other materials we own or control available as part of your use of the Services, we grant you a non-assignable, non-sublicensable, non-transferable, and non-exclusive right and license to access and display that software, content, and those materials in a web browser on the Website and in the Apps, in each case only so you can use the Services as these Terms allow. Access and use may be interrupted from time to time for reasons including equipment malfunction, periodic updates, maintenance or repair, or other steps the Company may elect to take in its sole discretion. You are responsible for providing the computer, browser, Internet connection, and other equipment needed to access the Services.

Restrictions

Unless applicable law forbids these restrictions or we give written permission, you may not do any of the following in connection with the Services:

  1. download, modify, copy, distribute, transmit, display, perform, reproduce, duplicate, publish, license, create derivative works from, or offer for sale any information contained on, or obtained from or through, the Services, except for temporary files automatically cached by your browser for display, or as these Terms otherwise expressly allow;
  2. duplicate, decompile, reverse engineer, disassemble, or decode the Services, including any underlying idea or algorithm, or attempt to do so;
  3. use, reproduce, or remove any copyright, trademark, service mark, trade name, slogan, logo, image, or other proprietary notation displayed on or through the Services;
  4. use automation software (bots), hacks, modifications (mods), or other unauthorized third-party software designed to modify the Services;
  5. access or use the Services in a way that could disable, overburden, damage, disrupt, or impair the Services, or interfere with anyone else's access to or use of the Services, or use any device, software, or routine that causes the same;
  6. attempt to gain unauthorized access to, interfere with, damage, or disrupt the Services, accounts registered to other users, or computer systems or networks connected to the Services;
  7. circumvent, remove, alter, deactivate, degrade, or thwart any technological measure or content protection of the Services;
  8. use any robot, spider, crawler, scraper, or other automatic device, process, software, or queries that intercepts, mines, scrapes, extracts, or otherwise accesses the Services to monitor, extract, copy, or collect information or data from or through the Services, or use any manual process to do the same;
  9. use the Services for benchmarking, to create or develop competing products or services, or to improve or train other AI models, tools, or technologies;
  10. use Output to train, distill, or fine-tune any other AI models that compete with the Services;
  11. introduce viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful materials into our systems;
  12. submit, transmit, display, perform, generate, post, or store any Input or other content that is inaccurate, unlawful, defamatory, obscene, lewd, excessively violent, pornographic, invasive of privacy or publicity rights, harassing, harmful, hateful, cruel or insensitive, deceptive, or otherwise objectionable, or use the Services for any of those purposes or for any other illegal, unethical, or disruptive purpose;
  13. create, use, or distribute Output in a fraudulent or misleading way, including by representing that Output is entirely human-generated or that Output depicts an actual photograph of a real event;
  14. attempt to use the Services to generate Output that infringes third-party rights; or
  15. access or use the Services in any way these Terms do not expressly permit.

Beta offerings

From time to time, we may, in our sole discretion, make certain Services available on a test or beta basis, or include test or beta features or products in the Services ("Beta Offerings"). Use of any Beta Offering is voluntary. Beta Offerings are provided "as is" and may contain errors, defects, bugs, or inaccuracies that could cause failures, corruption, or loss of data and information from any connected device. You acknowledge and agree that all use of a Beta Offering is at your sole risk. Once you use a Beta Offering, your content or data may be affected so that you cannot revert to a prior non-beta version of the same or a similar feature. If reversion is possible, you may not be able to return or restore data created in the Beta Offering to the prior non-beta version. If we provide Beta Offerings on a closed beta or confidential basis ("Closed Beta Offerings"), we will tell you as part of your use. For Closed Beta Offerings, you agree not to disclose, divulge, display, or otherwise make available any Closed Beta Offering or any Output generated by it without our prior written consent. You also agree not to post screenshots, videos, streams, or other content about Closed Beta Offerings or their Output unless we permit otherwise.

7. Ownership

Ownership of the Services

The Services, including their look and feel (for example, text, graphics, images, and logos), proprietary content, information, and other materials, are protected by copyright, trademark, and other intellectual property laws. You agree that the Company and its licensors own all right, title, and interest in and to the Services, including all intellectual property rights in them, and you agree not to take any action inconsistent with those ownership interests. We and our licensors reserve all rights in the Services and their content other than your Materials, including the exclusive right to create derivative works.

Trademarks

The Company's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. Other names, logos, product and service names, designs, and slogans that appear on the Services belong to their respective owners, who may or may not be affiliated with, connected to, or sponsored by us.

Feedback

We welcome feedback, comments, and suggestions about improvements to the Services, and other information about your experience with the Services ("Feedback"). You acknowledge and agree that contributing Feedback does not and will not give you any right, title, or interest in the Services or in that Feedback. All Feedback becomes the Company's sole and exclusive property. The Company may use and disclose Feedback in any manner and for any purpose without further notice or compensation to you and without your retaining any proprietary or other right or claim. You assign to the Company any and all right, title, and interest, including any patent, copyright, trade secret, trademark, show-how, know-how, moral rights, and any other intellectual property right, that you may have in any Feedback.

Usage data

The Services may generate diagnostic, technical, or other usage data about how you interact with the Services ("Usage Data"). We may use or disclose Usage Data in de-identified or aggregated form for operations and analytics — for example to provide, operate, secure, and debug the Services. De-identified or aggregated Usage Data is not used to train or fine-tune Somi models (Somi does not train or fine-tune its own models).

8. Third-party services and materials

Third-party materials in the Services

Certain Services may display, include, or make available content, data, information, services, applications, or materials from third parties ("Third Party Materials") or provide links to third-party websites. Third Party Materials include third-party software and services used to provide the Services, including third-party large language models (including models we access through providers such as OpenAI, Google, and xAI, including via Cloudflare AI Gateway), Stripe (including Stripe Connect), Cloudflare, Google sign-in, and tenant-configured integrations, as well as Connected Services. By using the Services, you acknowledge and agree that the Company is not responsible for examining or evaluating the content, accuracy, completeness, availability, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect of those Third Party Materials or websites. We do not warrant or endorse, and we assume no liability or responsibility to you or anyone else for, any third-party services, Third Party Materials, or third-party websites, or for any other materials, products, or services of third parties. Third Party Materials and links to other websites are provided only as a convenience. Your access to and use of Third Party Materials may be governed by additional terms of the provider, which you agree to follow.

9. Disclaimers, limitations of liability, and indemnification

Disclaimers

Your access to and use of the Services, including Actions taken through the Services, and your use of any Output, are at your own risk. You understand and agree that the Services, Outputs, and Actions are provided on an "AS IS" and "AS AVAILABLE" basis. Without limiting the foregoing, to the maximum extent permitted under applicable law, the Company, its parents, affiliates, related companies, officers, directors, employees, agents, representatives, partners, and licensors (the "Company Entities") DISCLAIM ALL WARRANTIES AND CONDITIONS, WHETHER EXPRESS OR IMPLIED, OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. The Company Entities make no warranty or representation and disclaim all responsibility and liability for: (a) the completeness, accuracy, availability, timeliness, security, or reliability of the Services and any Action or Output generated by the Services; (b) any harm to your computer system, loss of data (including data in Connected Services), or other harm that results from your access to or use of the Services or any Action performed by the Services; (c) operation or compatibility with any other application or any particular system or device, including any Connected Service; (d) your Actions and Outputs; (e) whether the Services, Actions, or Outputs will meet your requirements, or whether the Services will be available on an uninterrupted, secure, or error-free basis; and (f) the deletion of, or the failure to store or transmit, your Materials and other communications maintained by the Services. No advice or information, oral or written, obtained from the Company Entities or through the Services will create any warranty or representation not expressly made in these Terms. You should not rely on the Services or any Action or Output for advice of any kind, including medical, legal, investment, financial, or other professional advice. Any Action or Output is not a substitute for advice from a qualified professional. Nothing in these Terms or the Services creates a fiduciary, employment, joint venture, partnership, or similar relationship between you and the Company.

THE LAWS OF CERTAIN JURISDICTIONS, INCLUDING THE STATE OF NEW JERSEY, DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES AS SET FORTH BELOW. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.

THE COMPANY ENTITIES TAKE NO RESPONSIBILITY AND ASSUME NO LIABILITY FOR ANY CONTENT THAT YOU, ANOTHER USER, OR A THIRD PARTY CREATES, UPLOADS, POSTS, SENDS, RECEIVES, OR STORES ON OR THROUGH OUR SERVICES.

YOU UNDERSTAND AND AGREE THAT YOU MAY BE EXPOSED TO CONTENT THAT MIGHT BE OFFENSIVE, ILLEGAL, MISLEADING, OR OTHERWISE INAPPROPRIATE, NONE OF WHICH THE COMPANY ENTITIES WILL BE RESPONSIBLE FOR.

Limitations of liability

TO THE EXTENT NOT PROHIBITED BY LAW, YOU AGREE THAT IN NO EVENT WILL THE COMPANY ENTITIES BE LIABLE FOR ANY INDIRECT, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA OR PROFITS, BUSINESS INTERRUPTION, OR ANY OTHER DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICES), HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, WHETHER UNDER THESE TERMS OR OTHERWISE ARISING IN ANY WAY IN CONNECTION WITH THE SERVICES OR THESE TERMS AND WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) EVEN IF THE COMPANY ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE COMPANY ENTITIES' TOTAL LIABILITY TO YOU FOR ANY DAMAGES FINALLY AWARDED SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00), OR THE AMOUNT YOU PAID THE COMPANY ENTITIES FOR THE SERVICES, IF ANY, IN THE PAST SIX (6) MONTHS GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATIONS WILL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Indemnification

By entering these Terms and accessing or using the Services, you agree to defend, indemnify, and hold the Company Entities harmless from and against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys' fees and costs) incurred by the Company Entities arising out of or in connection with: (a) your violation or breach of any term of these Terms or any applicable law or regulation; (b) your violation of any rights of any third party; (c) your misuse of the Services; (d) your Input and Actions and your use of any Output; or (e) your negligence or willful misconduct. If you are obligated to indemnify any Company Entity under this section, you agree that the Company (or, at its discretion, the applicable Company Entity) will have the right, in its sole discretion, to control any action or proceeding and to decide whether the Company wishes to settle, and if so on what terms, and you agree to cooperate fully with the Company in the defense or settlement of that claim.

10. Arbitration and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.

Informal process first

You and the Company agree that if a dispute arises between you and the Company Entities, either party will first contact the other and make a good-faith, sustained effort to resolve the dispute before using more formal means, including any court action, after first giving the receiving party 30 days to respond. Both you and the Company agree that this procedure is a condition precedent that must be satisfied before either party starts arbitration against the other.

Arbitration agreement and class action waiver

After the informal process, any remaining dispute, controversy, or claim (collectively, a "Claim") relating in any way to the Company's services or products, including the Services, and any use, access, or lack of access to them, will be resolved by arbitration, including threshold questions of arbitrability. You and the Company agree that any Claim will be settled by final and binding arbitration, in the English language, administered by JAMS under its Comprehensive Arbitration Rules and Procedures then in effect (the "JAMS Rules"), which are incorporated by reference into this section. Because your contract with the Company, these Terms, and this arbitration agreement concern interstate commerce, the Federal Arbitration Act ("FAA") governs the arbitrability of all disputes. The arbitrator will apply applicable substantive law consistent with the FAA and the applicable statute of limitations or condition precedent to suit. Arbitration will be handled by a sole arbitrator under the JAMS Rules. Judgment on the award may be entered in any court that has jurisdiction. Any arbitration under these Terms will take place on an individual basis. Class arbitrations and class actions are not permitted. By agreeing to these Terms, you and the Company each waive the right to trial by jury and the right to participate in a class action or class arbitration.

Exceptions

Notwithstanding the foregoing, you and the Company agree that the following types of disputes will be resolved in a court of proper jurisdiction:

  1. disputes or claims within the jurisdiction of a small claims court consistent with applicable jurisdictional and dollar limits, if brought and maintained as an individual dispute and not as a class, representative, or consolidated action or proceeding;
  2. disputes or claims where the sole form of relief sought is injunctive relief, including public injunctive relief; or
  3. intellectual property disputes.

Costs of arbitration

Payment of filing, administration, and arbitrator costs and expenses will be governed by the JAMS Rules, except that if you demonstrate that any such costs and expenses you owe under those rules would be prohibitively more expensive than a court proceeding, the Company will pay the amount the arbitrator determines is necessary to prevent the arbitration from being prohibitively more expensive than a court proceeding, subject to possible reimbursement as set forth below.

Fees and costs may be awarded as provided by applicable law. If the arbitrator finds that either the substance of your claim or the relief sought in the demand is frivolous or brought for an improper purpose, as measured by the standards in Federal Rule of Civil Procedure 11(b), then payment of all fees will be governed by the JAMS Rules. In that case, you agree to reimburse the Company for all amounts it previously disbursed that are otherwise your obligation under the applicable rules. If you prevail in the arbitration and are awarded an amount that is less than the last written settlement amount the Company offered before the arbitrator was appointed, the Company will pay you the amount it offered in settlement. The arbitrator may make rulings and resolve disputes as to payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator's ruling on the merits.

Opt-out

You have the right to opt out and not be bound by the arbitration provisions in these Terms by sending written notice of your decision to support@somi.co. The notice must reach the Company within thirty (30) days of your first registering to use the Services or agreeing to these Terms. Otherwise you will be bound to arbitrate disputes on a non-class basis under these Terms. If you opt out of only the arbitration provisions, and not also the class action waiver, the class action waiver still applies. You may not opt out of only the class action waiver and not also the arbitration provisions. If you opt out of these arbitration provisions, the Company also will not be bound by them.

Waiver of class and representative claims

To the fullest extent permitted by applicable law, you and the Company each agree that any proceeding to resolve any dispute, claim, or controversy will be brought and conducted ONLY IN THE RESPECTIVE PARTY'S INDIVIDUAL CAPACITY AND NOT AS PART OF ANY CLASS (OR PURPORTED CLASS), CONSOLIDATED, MULTIPLE-PLAINTIFF, OR REPRESENTATIVE ACTION OR PROCEEDING ("CLASS ACTION"). You and the Company AGREE TO WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION. You and the Company EXPRESSLY WAIVE ANY ABILITY TO MAINTAIN A CLASS ACTION IN ANY FORUM. If the dispute is subject to arbitration, THE ARBITRATOR WILL NOT HAVE THE AUTHORITY TO COMBINE OR AGGREGATE CLAIMS, CONDUCT A CLASS ACTION, OR MAKE AN AWARD TO ANY PERSON OR ENTITY NOT A PARTY TO THE ARBITRATION. Further, you and the Company agree that the ARBITRATOR MAY NOT CONSOLIDATE PROCEEDINGS FOR MORE THAN ONE PERSON'S CLAIMS, AND IT MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS ACTION. For the avoidance of doubt, you may seek public injunctive relief to the extent authorized by law and consistent with the Exceptions clause above.

IF THIS CLASS ACTION WAIVER IS LIMITED, VOIDED, OR FOUND UNENFORCEABLE, THEN, UNLESS THE PARTIES MUTUALLY AGREE OTHERWISE, THE PARTIES' AGREEMENT TO ARBITRATE SHALL BE NULL AND VOID WITH RESPECT TO SUCH PROCEEDING SO LONG AS THE PROCEEDING IS PERMITTED TO PROCEED AS A CLASS ACTION. If a court decides that the limitations of this paragraph are invalid or unenforceable, any putative class, private attorney general, or consolidated or representative action must be brought in a court of proper jurisdiction and not in arbitration.

11. Additional provisions

Business telephone contact

If you give us a business telephone number, we may call that number about your Account, a tenant workspace, or the Services. We contact users about the Services by email, not by marketing or sign-in text messages.

Changes to the Services

We may change the content, features, and other services provided as part of the Services from time to time. We do not guarantee that any particular content, feature, or other service will always be available.

Updating these Terms

We may modify these Terms from time to time. When we do, we will update the date at the top of these Terms. If we make material changes, we will use reasonable efforts to notify you, such as by email and/or by placing a prominent notice on the first page of the Website. It is your responsibility to review these Terms from time to time. Updated Terms are effective when posted, or on a later date specified in the updated Terms. Your continued access to or use of the Services after modifications become effective is your acceptance of the modified Terms. No amendment applies to a dispute for which arbitration has already been started before the change.

Termination of license and your Account

If you breach any provision of these Terms, all licenses granted by the Company terminate automatically. The Company may also suspend, disable, or delete your Account and/or the Services, or any part of them, with or without notice, for any reason or no reason. If the Company deletes your Account because it suspects you breached these Terms, you may not re-register under a different name. If an Account is deleted for any reason, the Company may, but is not required to, delete your Materials. To request deletion of your Materials or other personal information, contact us at privacy@somi.co or support@somi.co. The Company is not responsible for failing to delete, or for deleting, your Materials. All sections that by their nature should survive termination will survive. Termination does not limit any of the Company's other rights or remedies at law or in equity.

Injunctive relief

You agree that a breach of these Terms will cause irreparable injury to the Company for which money damages would not be an adequate remedy, and that the Company is entitled to equitable relief in addition to any other remedies it may have, without a bond, other security, or proof of damages.

California residents

If you are a California resident, under Cal. Civ. Code section 1789.3 you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

Export laws

You agree that you will not export or re-export, directly or indirectly, the Services or other information or materials we provide under these Terms to any country for which the United States or any other relevant jurisdiction requires an export license or other governmental approval at the time of export, without first obtaining that license or approval. In particular, and without limitation, the Services may not be exported or re-exported (a) into any U.S. embargoed country or any country designated by the U.S. government as a terrorist-supporting country, or (b) to anyone listed on any U.S. government list of prohibited or restricted parties, including the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce Denied Persons List or Entity List. By using the Services, you represent and warrant that you are not located in any such country or on any such list.
